These Terms and Conditions ("Terms") govern your participation in the Microgreens Business Blueprint Program ("Program") offered by Microgreens Consulting Inc., owned and operated by Jonah Krochmalnek ("Company," "we," "our," or "us"). By purchasing, enrolling in, or accessing the Program, you ("Client," "you," or "your") agree to the following Terms.

1. Purpose and Scope

The Program provides education, training, tools, and resources designed to help individuals build and grow a profitable microgreens business. This includes access to digital course materials, templates, coaching, and proprietary software tools.

2. 30-Day Refund Policy

We want you to be satisfied with your purchase. If you believe the Program does not meet your expectations, you may request a refund within 30 days of purchase.

As a condition of any approved refund, you agree to discontinue use of and delete any Program materials, templates, software access, and related resources included with your purchase.

Refund requests submitted more than 30 days after the original purchase date will not be accepted.

If approved, refunds will be issued to the original payment method within 10 business days.

This policy is intended to maintain a fair refund process while protecting the Program and its intellectual property.

3. No Guarantees or Promises

We are committed to providing high-quality education and practical business tools. However, your results depend on your own effort, application, experience, and circumstances.

We do not guarantee any specific financial results, business growth, income, or performance outcomes.

Success stories, testimonials, and examples represent experiences of individual participants who have implemented the material effectively. They are shared to demonstrate what is possible, not as a guarantee of your results.

4. Educational and Informational Use Only

All Program materials are provided for educational and informational purposes only.

They are not intended as professional financial, legal, tax, accounting, or investment advice.

You are encouraged to consult qualified professionals before making business or financial decisions.

5. Intellectual Property Rights

All materials within the Program, including but not limited to videos, documents, templates, spreadsheets, software tools, calculators, coaching materials, and other resources, are the intellectual property of Microgreens Consulting Inc. and are protected under applicable copyright, trademark, and intellectual property laws.

You may not:

  • Reproduce, share, or distribute Program materials outside your own business;

  • Resell, sublicense, or transfer any part of the Program or Software;

  • Copy, modify, or create derivative works based on Program content for commercial purposes.

Any breach of this section may result in suspension or termination of access to the Program and related software tools.

6. License of Use

Your enrollment grants you a limited, non-transferable, non-exclusive license to use the Program and related materials for your personal or internal business use.

You may not share login credentials, grant access to others, or distribute Program content without written permission.

7. Software Tools (Microgreens IQ & Microgreens CoPilot)

Access to Microgreens IQ and Microgreens CoPilot ("Software") is included as part of the Program.

By using the Software, you agree that:

  • The Software is provided "as is" for business management and financial analysis support;

  • The Company does not guarantee that the Software will be error-free, uninterrupted, or compatible with all devices;

  • You are solely responsible for entering accurate data and interpreting Software outputs;

  • The Software does not provide financial, legal, tax, or professional advice;

  • The Company is not liable for losses or damages resulting from Software errors, downtime, or reliance on Software outputs;

  • You will not copy, modify, reverse-engineer, or attempt to replicate any part of the Software.

8. Coaching and Consulting

If your Program includes group or private coaching:

  • Coaching is designed to educate and guide, not to provide legal, financial, tax, accounting, or investment advice;

  • Results are not guaranteed;

  • The Company may record coaching sessions for educational, training, and quality assurance purposes;

  • You may not record, share, or distribute coaching calls without written consent.

9. Limitation of Liability

To the fullest extent permitted by law:

The Company, its owners, affiliates, employees, contractors, and representatives shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from participation in the Program or use of the Software.

Your sole remedy for any claim arising from participation in the Program shall not exceed the total amount paid by you for the Program.

10. Assumption of Risk

You understand that implementing business strategies, farming techniques, growing methods, and operational recommendations involves inherent risks, including but not limited to financial loss, crop failure, equipment malfunction, market fluctuations, and business challenges.

You assume full responsibility for these risks and your business decisions.

11. Technology and Access

You are responsible for maintaining the necessary internet connection, hardware, software, and devices required to access the Program and Software.

The Company is not responsible for technical interruptions, service outages, platform disruptions, or compatibility issues beyond its reasonable control.

12. Confidentiality

Any proprietary or confidential information shared by the Company or other participants within the Program, including discussions, templates, resources, strategies, and shared data, must remain confidential and may not be disclosed or used for competitive purposes.

13. Modifications and Termination

The Company reserves the right to modify, enhance, update, or discontinue portions of the Program or Software at any time.

If the Program is discontinued, participants will retain access to previously downloaded materials where applicable.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, employees, contractors, affiliates, and representatives from any claims, damages, liabilities, expenses, or legal fees arising from your participation in, misuse of, or violation of these Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.

Any disputes arising from these Terms or your participation in the Program shall be resolved through binding arbitration in Toronto, Ontario, in accordance with applicable Ontario arbitration laws.

Each party shall bear its own legal costs, and the arbitrator's decision shall be final and binding.

16. Privacy

Your personal information may be collected and used for purposes including account creation, payment processing, customer support, Program delivery, and communication regarding Program updates.

We do not sell your personal information.

17. Entire Agreement

These Terms constitute the entire agreement between you and the Company and supersede any prior communications, discussions, or agreements relating to the Program.

18. Acknowledgment

By purchasing or accessing the Microgreens Business Blueprint, Microgreens IQ, or Microgreens CoPilot, you acknowledge that:

  • You have read and agree to these Terms;

  • You understand that results depend on your own effort, implementation, experience, and market conditions;

  • You understand that no specific income, business, or financial outcomes are guaranteed;

  • You enter this agreement voluntarily and without reliance upon any representations beyond those expressly stated by the Company.
